Terms of Service

These Terms form an agreement between Call Me Booked ("Call Me Booked", "we", "us") and the business that signs up for the service ("Client", "you"). By creating an account, signing an order form or using the service, you agree to these Terms on behalf of your business. If an order form signed by both parties conflicts with these Terms, the order form wins.
1. The service
Call Me Booked provides AI-assisted call answering, call classification and emergency dispatch, appointment booking, missed-call text-back, estimate drafting, invoice auditing, customer-reactivation messaging and reporting (the "Service"). Features available to you depend on your plan. We may improve and change the Service over time; we will not materially reduce the core features of your plan during a paid term without notice.
2. Accounts and users
- You are responsible for the people you invite and the roles you give them (owner, office staff, technician).
- Keep passwords confidential and tell us promptly about any unauthorized use.
- You must provide accurate business information, including your legal name for carrier registration.
3. Important limits of an AI service
- Not an emergency service. The Service is not a substitute for 911, your gas utility or other emergency services. For life-safety situations the AI assistant directs callers to leave the building and contact emergency services, and alerts your on-call staff, but it cannot guarantee that anyone will respond.
- AI can make mistakes. Classification, transcription, scheduling and drafted content may contain errors. You are responsible for reviewing estimates, invoices and campaigns before they are sent. Nothing binding (such as an estimate) is sent to a customer without your approval.
- Dependence on others. Calls and messages travel over third-party carriers and internet providers that we do not control. If the AI is unavailable, the Service falls back to voicemail and an instant text alert to you, but we do not guarantee that every call or message will be delivered.
- Your prices and promises. The assistant quotes the rates, service areas and policies you configure. Keep them accurate; you are responsible for honouring them.
4. Your responsibilities for calls and messages
- You authorize us to answer, record and transcribe calls to your Call Me Booked number and to tell callers that they are speaking with an AI assistant and that the call is recorded.
- You are the sender of messages sent on your behalf. You confirm that you have the consent required by CASL, the TCPA and other laws for the contacts you upload, and you will record accurately how and when consent was obtained. We block sends that our records show are not permitted, but you remain responsible for the accuracy of the consent information you provide.
- You will cooperate with carrier registration (for example, US A2P 10DLC and toll-free verification).
- You will not use the Service for unlawful, deceptive, harassing or spam communications.
5. Fees and payment
- Subscription fees are billed in advance, in CAD for Canadian Clients and USD for US Clients: monthly, or yearly if you choose a yearly plan.
- Yearly plans cost 10 times the monthly price for 12 months of service. Included AI call minutes reset each month.
- Each plan includes the number of AI call minutes per month shown on our pricing page or your order form. Additional minutes are billed in arrears at the rate on your order form.
- Onboarding is included unless your order form says otherwise.
- Fees exclude applicable taxes (such as GST/HST), which we will add to your invoice.
- If a payment fails and is not fixed within 14 days of our notice, we may suspend the Service until it is paid.
Results guarantee
If the revenue shown in your Call Me Booked revenue report for your first 90 days after going live is less than 5 times your monthly subscription fee, we will credit one month's subscription fee (excluding usage charges and taxes) on your next invoice, or, on a yearly plan, add one free month to your term. For a yearly plan the target uses the plan's regular monthly price. To qualify:
- calls are forwarded to Call Me Booked as set up during onboarding (at least after-hours and unanswered calls) for the whole period;
- your business hours, on-call schedule and calendar are kept up to date in Call Me Booked;
- your account is in good standing; and
- the guarantee applies once per business, to its first 90 days after going live.
Revenue is counted as described in the report: jobs booked by Call Me Booked at your average job value until invoiced, then at the invoiced amount, plus recoveries and reactivations you confirmed. The credit is your only remedy under this guarantee.
6. Term and cancellation
- Monthly subscriptions renew each month and yearly subscriptions renew each year, until cancelled.
- Either party may cancel with 30 days' written notice. A yearly plan stops at the end of the year it was paid for. Fees already paid are not refunded except where the law requires or under the results guarantee.
- We may suspend or end the Service immediately for serious breaches, such as unlawful messaging or non-payment.
- On request within 60 days after cancellation, we will export your data. We then delete it within 90 days, except where the law requires us to keep it. Your phone number can be transferred (ported) to another provider on request.
7. Your data
- You own your data, including your customer records, call recordings and transcripts. You give us permission to use it only to provide, secure and support the Service, and as described in our Privacy Policy.
- We process your customers' personal information as your service provider and protect it with the safeguards described in the Privacy Policy. Our data processing terms form part of this agreement.
- We may use aggregated, de-identified statistics that do not identify you or any person to operate and improve the Service.
8. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only for this agreement, except where disclosure is required by law.
9. Intellectual property
We own the Service, including its software, prompts, model configurations and documentation. You receive a non-exclusive, non-transferable right to use the Service for your business during your subscription. Suggestions you give us may be used freely to improve the Service.
10. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as stated in these Terms, the Service is provided "as is" and we disclaim all other warranties to the extent the law allows, including warranties of merchantability, fitness for a particular purpose and uninterrupted or error-free operation.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, consequential, special or punitive damages, or for lost profits or revenue, even if advised of the possibility. Each party's total liability under this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify us against third-party claims arising from messages sent on your behalf without the required consent, from inaccurate rates or information you configure, or from your breach of law. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights.
13. Changes to these Terms
We may update these Terms. We will give at least 30 days' notice by email of material changes; continuing to use the Service after that date means you accept them.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of the Province of Ontario have exclusive jurisdiction, except that either party may seek urgent injunctive relief anywhere.
15. General
This agreement (with any order form and the data processing terms) is the entire agreement between us about the Service. If a provision is unenforceable, the rest remains in effect. Neither party may assign the agreement without consent, except to a successor in a merger or sale of its business.
